Overview

Wayne practices in the public finance area, with emphasis on tax exempt municipal obligations. His knowledge of municipalities, counties, school districts, hospitals and utilities in South Carolina has been a major force in the development of the firm’s thriving public finance practice. He assisted in drafting legislation creating agencies and political subdivisions of the state and providing for their authority to issue debt obligations.

Wayne has assisted in the drafting of legislation authorizing municipalities to form Piedmont Municipal Power Agency (PMPA), an authority (which is a body politic and corporate of the State) created to own a portion of a nuclear unit to provide its residents electricity. PMPA was formed with ten municipal members and has issued in excess of $4 billion of electric revenue debt, for which Wayne has served as bond counsel and corporate counsel.

Wayne also assisted in the drafting of legislation that created a state agency known as the South Carolina Transportation Infrastructure Bank, the purpose of which is to loan or grant money to State transportation projects in excess of $100 million. He served as disclosure counsel in the issuance of in excess of $3 billion of revenue debt for the agency.

Wayne has served as co-bond counsel and bond counsel to South Carolina Public Service Authority in the issuance of in excess of $3.6 billion of electric revenue debt, and has served as the State's bond counsel in the issuance of its general obligation and revenue debt. He also served as underwriters counsel in numerous transactions in the issuance of in excess of $7 billion total.

Before McNair


After receiving his law degree, Wayne served as Legal Assistant to then Governor Robert E. McNair until 1971. When McNair founded McNair Law Firm, he invited Wayne to join him in the practice of law as one of the firm’s first three members.
 

Wayne has served as bond counsel, issuer’s counsel, underwriters counsel or disclosure counsel in the issuance of more than $34 billion in a range of tax-exempt and taxable bond financings, including, but not limited to:
